These Terms of Service ("Terms") govern your use of the Arvi AI Tech website (arviaitech.com), our games, applications, AI products, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Services Overview

Arvi AI Tech provides game development, AI engineering, machine learning solutions, autonomous agent development, and software engineering services. We also publish games and applications on various platforms including mobile app stores and the web.

2. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18, you must have parental or guardian consent. By using our Services, you represent that you meet these requirements.

3. User Accounts

Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Intellectual Property

All content, code, designs, graphics, trademarks, and other intellectual property on our website and in our products are owned by Arvi AI Tech or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.

For client projects: unless otherwise specified in a separate agreement, all custom work product created for a client is assigned to the client upon full payment. We retain the right to use general techniques, methodologies, and non-confidential learnings from projects.

5. Acceptable Use

When using our Services, you agree not to:

• Reverse engineer, decompile, or disassemble any of our software
• Use our Services for any unlawful purpose or to violate any applicable laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use automated scripts to collect information from or interact with our Services without permission
• Impersonate any person or entity or misrepresent your affiliation

6. Games and Applications

Our games and applications are provided for entertainment and productivity purposes. We grant you a limited, non-exclusive, non-transferable, revocable license to use our games and apps for personal, non-commercial purposes. In-app purchases, where available, are non-refundable except as required by applicable law or platform policies.

7. AI Services and Outputs

Our AI services, including chatbots, agents, and ML models, provide outputs based on algorithmic processing. While we strive for accuracy and reliability, AI outputs may contain errors or inaccuracies. You acknowledge that AI-generated content should be reviewed by qualified humans before being used in critical decisions.

We do not guarantee that AI systems will be error-free, uninterrupted, or suitable for any particular purpose beyond what is specified in individual service agreements.

8. Client Engagements

Professional service engagements (game development, AI system builds, consulting) are governed by separate statements of work (SOW) or service agreements. In case of conflict between these Terms and a signed SOW, the SOW prevails for the scope of that engagement.

9. Payment Terms

Payment terms for professional services are defined in individual service agreements. All invoices are due within the timeframe specified in the applicable agreement. Late payments may incur interest charges as permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, Arvi AI Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of our Services.

Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

11. Indemnification

You agree to indemnify and hold harmless Arvi AI Tech, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or your use of our Services.

12. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive.

13. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary.
